Theo Terms of Service

Effective September 23, 2026

Theo is an AI assistant operated by Merit Systems, Inc. (“Merit,” “we,” “us”). These terms cover Theo’s website, messages, and actions on your behalf. By agreeing to these terms, you also agree to the Merit Systems Terms of Service (March 10, 2026), incorporated here. These Theo-specific terms control any conflict, except they do not change Merit’s arbitration agreement. If you disagree, do not use Theo. You must be at least 18 and legally able to enter this agreement.

Arbitration and limits on liability

The Merit terms require individual binding arbitration and waive class actions and jury trials, subject to their exceptions. Section 17 explains the process and your right to opt out within 30 days, including where to send your notice. New York law governs. The Merit terms also include warranty disclaimers, liability limits, and indemnification obligations. Read them before agreeing; they are part of this agreement.

Use your judgment

Theo can misunderstand you, get facts wrong, or fail to complete a task. Check important details, including prices, dates, availability, accessibility, and booking confirmations. Recommendations are not guarantees of safety, quality, admission, or suitability. Theo is not an emergency service or a source of professional advice.

Actions, purchases, and other businesses

You authorize Theo to use the information and accounts you provide to carry out your instructions, including contacting businesses, browsing websites, and making bookings or purchases within your authorization. Give clear limits and review approval requests. You are responsible for authorized charges, taxes, and cancellation or no-show fees. Asking Theo to cancel does not mean a booking or charge has been canceled; check the outcome.

Merchants and other providers set their own terms, availability, and refund policies. Theo does not operate those businesses or guarantee their performance, refunds, or the success of a transaction. Any Theo service fee will be disclosed before you agree to pay it.

Your information and messages

You retain rights in your content and grant us a nonexclusive, worldwide, royalty-free license to use, reproduce, and share it to provide and improve Theo and for the model-training and commercial uses described in the Privacy Policy, subject to legally required notices, consents, and choices.

Only provide information and account access you have permission to use. Protect your phone and accounts. Do not use Theo for unlawful, abusive, deceptive, or harmful activity. Our Privacy Policy explains how we process conversations and other data, including staff review and sharing with service providers.

When you request texts or message Theo, you authorize automated service messages about your requests, including reminders and follow-ups. Frequency varies; carrier message and data rates may apply. Contact legal@merit.systems to request that messages stop. Blocking Theo on your phone also prevents messages from reaching you.

Changes and contact

We may change or stop Theo, or restrict access, as provided in the Merit terms. We will post revisions here and notify you of material changes before they take effect. Arbitration changes follow Section 17 of the Merit terms. Questions: legal@merit.systems.
